The legal form of the US corporation (Inc) is a legal entity with its own legal personality in the form of a corporation.
The company's capital is raised by shareholders.
In contrast to a German stock corporation, there is no obligation to pay in the nominal capital. It is true that the corporation is provided with authorized capital (so-called "authorized capital") at the time of incorporation, which is broken down into a certain number of authorized shares (so-called "authorized shares"). However, the Authorized Capital cannot be claimed by the shareholders.
The Authorized Capital only means that the company is entitled and authorized to issue Authorized Shares to investors, investors and other third parties (so-called "capitalization" or also "capitalization"). In principle, the company is only required to sell the shares at their calculated value.
